Specifications include, but are not limited to: Responsibilities of the Contractor include:A.1. The Contractor(s) shall provide all goods or services and deliverables as required, described, anddetailed below and shall meet all service and delivery timelines as specified by this Contract.A.2. The Contractor(s) shall establish and own a stream/wetland mitigation bank. A mitigation bank is awetland, stream, or other aquatic resource area that has been restored, established, enhanced, or preservedfor the purpose of providing mitigation credits for impacts to aquatic resources permitted under Section404 and 401 of the Clean Water Act. A mitigation bank may be created when a government agency,corporation, nonprofit organization, or other entity undertakes these activities under a formal agreementwith the USACE and other applicable environmental regulatory agencies. The Contractor(s) shall sell thecredits produced by the bank to the State to be used on current and future transportation projects up to the Page 15fullest amount of each Lot. SCDOT will use credits purchased from the bank to obtain environmentalpermits necessary for construction of transportation projects.A.3. The State will only purchase credits after they have been released by the United States Army Corps ofEngineers (USACE).A.4. All other terms of this Contract notwithstanding, the SCDOT shall not be bound by this Contractunless and until a Mitigation Banking Instrument (MBI) for the proposed mitigation site has beenapproved by the IRT. The IRT shall be a committee of state and federal agency members that will review,evaluate, and negotiate the MBI, which is the agreement between the bank owners and regulators thatestablishes the terms of the mitigation bank approval, monitoring requirements, and legal obligations.Absolutely no funds shall be requested by or paid to Contractor(s) prior to approval of the MBI by theIRT. Such approval must be signed and dated by the IRT member agencies on or before October 1, 2023,and a copy evidencing such approval shall be submitted to the SCDOT. At the close of business on October1, 2023, this Contract can be terminated unless, pursuant to the Changes (Jan 2006) clause in SectionVII. B. document, both Parties agree to extend the MBI approval deadline as demonstrated in a properlyexecuted amendment.A.5. Contractor shall have the Stream and Wetland Credits for Lot A available for purchase by January 1,2024 from an USACE Mitigation Bank with a primary or secondary service area that covers the entirewatershed. The Mitigation Bank shall be established in accordance with USACE 33 CFR Parts 325 and332, EPA 40 CFR Part 230, and the South Carolina Department of Health and Environmental Control(SCDHEC) Office of Ocean and Coastal Resource Management (OCRM) Statutory Authority: 1976 Code 48-39-10 through 48-39-230; R.30-4.G: Mitigation Criteria
