The objective of this RFI is to solicit information and pricing (Responses) that will enable the City to determine which Service Provider and Proposed Solution will best meet the Citys needs. 1.2General Information 1.2.1Accuracy of RFI and Related Documents. The City assumes no responsibility for conclusions or interpretations derived from information presented in this RFI, or otherwise distributed or made available during the information gathering process. The City will not be bound by or be responsible for any explanation, interpretations or conclusion of the RFI provided by the City other than those provided in writing by the City through the issuance of written addenda. In no event shall a Service Provider rely on any oral statement by the City, or their respective agents, advisors, or consultants. 1.2.2 City Rights and Options. The City, at its sole discretion, reserves the following rights, which may be exercised at the Citys sole discretion: To supplement, amend, substitute or otherwise modify this RFI, including the schedule, or cancel this RFI, at any time; To take any action affecting this RFI, this RFI process, or the Services or facilities subject to this RFI that would be in the best interests of the City;Executive Recruitment Services April 5, 2016 RFI #269-2016-077 require one or more Service Providers to supplement, clarify or provide additional information; discuss and negotiate with selected Service Provider(s) any terms and conditions in the RFI, and any subsequent contract; including financial terms; terminate discussions and negotiations with any Service Provider at any time and for any reason; and enter into any Contract deemed by the City to be in the best interest of the City. With one or more of the Service Providers responding. 1.2.3Expense of Submittal Preparation. The City accepts no liability for the costs and expenses incurred by the Service Provider in responding to this RFI or in preparing subsequent responses for clarification. Each Service Provider that prepares a response shall do so at its own expense and with the express understanding that they cannot make any claims whatsoever for reimbursement from the City for the costs and expenses associated with the response. 1.2.4RFI Not An Offer. This RFI does not constitute an offer by the City. No binding contract, obligation to negotiate or any other obligation shall be created on the part of the City unless the City and the Service Provider execute a contract. No recommendations or conclusions from this RFI process concerning the Service Provider shall constitute a right (property or otherwise) under the Constitution of the United States or under the Constitution, case law, or statutory law of North Carolina. 1.2.5No Collusion or Conflict of Interest By responding to this RFI, the Service Provider shall be deemed to have represented and warranted that the response is not made in connection with any competing Service Provider submitting a separate response to this RFI, and is in all respects fair and without collusion or fraud. 1.2.6 Trade Secrets/Confidentiality. Upon receipt at the Procurement Management Division, all materials submitted by a Service Provider (including the Response, requests and other communications) are considered public records except for material which qualifies as trade secret information under N.C. Gen. Stat. 66-152 et seq. and personal identification information as protected by state and federal law (Personal Identification Information or PII), to include, but not be limited to, social security numbers, bank account numbers, and drivers license numbers. After the Response due date, the Citys Evaluation Committee, as well as other City staff and members of the general public who submit public records requests will review the Response. The public disclosure of the contents of a Proposal or other materials submitted in response to this RFI is governed by Chapter 132 and 66-152 et. seq. of the General Statutes of North Carolina. If any Response contains trade secret information as defined by Chapter 66-152 et seq. of the General Statutes of North Carolina or PII, such trade secret information and PII must be specifically and clearly identified in accordance with this Section 1.2.6.Executive Recruitment Services April 5, 2016 RFI #269-2016-077 Any trade secrets or PII submitted by a Service Provider must be clearly segregated from the rest of the Response. For electronic submissions it must be submitted in a separate electronic file when submitting online. In submitting a Response, each Service Provider agrees that the City may reveal any trade secret materials and PII contained in such response to all City staff and City officials involved in the selection process, and to any outside consultant or other third parties who serve on the Evaluation Committee or who are hired or appointed by the City to assist in the evaluation process. Furthermore, each Service Provider agrees to indemnify and hold harmless the City and each of its officers, employees, and agents from all costs, damages, and expenses incurred in connection with refusing to disclose any material, which the Service Provider has designated as a trade secret. Any Service Provider that designates its entire Response as a trade secret may be disqualified. 1.2.7Equal Opportunity. The City has an equal opportunity purchasing policy. The City seeks to ensure that all segments of the business community have access to supplying the goods and Services needed by City programs. The City affirmatively works to encourage utilization of small and minority business enterprises in our procurement activities. The City provides equal opportunity for all businesses and does not discriminate against any Service Providers regardless of race, color, religion, age, sex, national origin, or disability. 1.2.8Charlotte Business INClusion Program. On April 8, 2013 the City adopted a new program that is structured to maximize opportunities for City of Charlotte Certified Small Business Enterprises (SBEs) and Minority and Women Enterprises (MWBEs) that have been certified by the States Historically Underutilized Business Office. MWSBEs shall have the maximum opportunity to compete for and participate in the performance of contracts issued on behalf of the City of Charlotte. The City further requires that its contractors agree to take all the necessary and responsible steps to ensure that MWSBEs have the maximum opportunity to participate as subcontractors for contractors issued by City of Charlotte, Economic Development Division. 1.2.9Clarification of Ambiguities. Any Service Provider believing that there is any ambiguity, inconsistency or error in this RFI shall promptly notify the City as outlined in Section 2.3, in writing of such apparent discrepancy. Failure to notify will constitute a waiver of claim of ambiguity, inconsistency or error. 1.2.10 No Bribery. In submitting a response to this RFI, each Service Provider certifies that neither it, any of its affiliates or subcontractors, nor any employees of any of the foregoing has bribed, or attempted to bribe, an officer or employee of the City in connection with this RFI. 1.2.11 E-Verify Certification For any response to be considered responsive, the successful Service Provider (Company) shall be required to provide a certification per Section 5, Form 5, attesting that the Service Provider is in compliance with the E-VerifyExecutive Recruitment Services April 5, 2016 RFI #269-2016-077 provisions of Article 2 of Chapter 64 of the North Carolina General Statutes and shall ensure that any subcontractors used by the Service Provider on this Project will also comply with the E-Verify provisions. 1.2.12Iran Divestment Act. The Service Provider shall certify that (i) it is not identified on the Final Divestment List or any other list of prohibited investments created by the North Carolina State Treasurer pursuant to N.C.G.S. 143-6A-4; (ii) it will not take any action hereunder that is identified on any list; and (iii) Service Provider agrees that it will not utilize any subcontractor that is identified on the Final Divestment List on any Contract resulting from this RFI. 2.Description of Process. 2.1Schedule and Process. The following chart shows the schedule of events to prepare your organizations response. Dates are subject to change. DATE EVENT April 5, 2016 Issuance of RFI. Date RFI released to public. April 11, 2016 Request For Information Acknowledgement. Form due to the City by date shown.April 14, 2016 Submission of Written Questions. Service Providers are permitted to submit written questions to the City as outlined in Section 2.3, but only for purposes of clarifying this RFI. April 15, 2016 City to Issue Addendum. The City will publish responses to all submitted questions, if applicable, in the form of a written addendum. April 21, 2016 Response Submission. Responses are due by noon on April 20, 2016 as outlined in Section 2.4 . April 2228, 2016 Evaluation of Responses. If the City deems necessary, a meeting or conference call may be held with one or multiple Service Providers. May 2, 2016 Contract Execution. City Contract will be provided to successful Service Provider (Company) for execution. May 9, 2016 Contract Start Date. The City of Charlotte will be responsible for leading the efforts associated with the recruitment of a new City Manager. The Service Provider shall perform the following action steps/tasks in conjunction with and at the direction of the Charlotte City Council, City of Charlotte Human Resource Director and her staff. A.The Human Resource Director and/or designated staff, with the assistance of the Service Provider, will lead the recruitment process. B.The Human Resource Director and/or designated staff will lead the development of the employment profile. The Service Provider will solicit input from City Council and from other resources as approved by City Council to understand the role, responsibilities, qualifications and appropriate experience needed for the position. The Service Provider will be asked to provide input, and assist with development of the employment profile. The City Council will approve the employment profile. C.The Service Provider will develop a recruitment strategy, process and final timeline for completion of the work in consultation with City Council and the Human Resources Director. D.The Service Provider will prepare recruitment advertisements and begin initial advertising for the position, to include advertising in nationally-recognized publications likely to attract qualified candidates, proactively reaching out to candidates that may or may not be actively seeking the position and other best practice recruitment strategies utilized in the industry. E.The Service Provider will receive and review applications for the position of City Manager. F.The Service Provider will screen applications and reduce the candidate pool (number will be determined by the City) and review the documents with the Human Resource Director. G. The Service Provider will assist the City Council in further reducing the candidate pool and determining the candidates to be interviewed. The Service Provider may be asked to provide written confirmation regarding the education and experience as identified by each candidate that is selected for the interview group. H. The Service Provider with direction from Human Resource Director and/or designated staff shall schedule interviews. I. The Human Resources Director, staff, City Council Members and the Service Provider will develop the selection criteria and interview questions. J. The Human Resource Director and/or designated staff and the Service Provider representative may be asked by City Council to attend interviews of top candidates. K. The Service Provider will be prepared to conduct three (3) to five (5) work- related site visits to the City. L. The Service Provider may be asked to conduct a comprehensive background investigation on top candidate(s).Executive Recruitment Services April 5, 2016 RFI #269-2016-077 M.The Human Resource Director and/or designated staff will assist the City Council in determining salary and benefits to offer the selected candidate. N.The Human Resource Director and/or designated staff will facilitate all processes that are involved with the RFI. 3.2City Contract Requirements. The City will provide a Contract written by the City to the Company for review and execution. The Service Provider must state any exceptions to the Citys terms and conditions for the Citys consideration. The City reserves the right to change the proposed contractual terms and conditions prior to or during contract negotiations if it is in the Citys best interest to do so.
